A single member company is a company which is incorporated with one member, or whose membership is reduced to one person. However, the company must have at least two directors and a secretary. Advantages For A Single Member Company In Uganda

One of the advantages of One Person Company is that it has more opportunities, limited liability since the liability of the OPC is limited to the extent of the value of the share you hold, the individual could take more risk in business without affecting or suffering the loss of personal assets.

The advantages of a SMC are almost similar to those of a private limited liability company; they include; Limited liability protection for the sole member where the assets of the company are separate from those of the sole member. The existence of the company does not cease on the death of the sole member.

Section 2(62) of Companies Act defines a one-person company as a company that has only one person as to its member.
