Company Registration In Uganda
Company registration is the primary process by which business owners establish or incorporate their company. Since there are several types of companies in Uganda, entrepreneurs have to ensure they choose a business type that suits their operations. A company register is a register of organizations in the jurisdiction they operate under. A statistical business register has a different purpose than a company register.
Hence, a business with any amount of turnover or capital can be operated as a Proprietorship or Partnership or Limited Liability Partnership or Private Limited Company. However, the Companies Act 2013, does require mandatory company registration for certain Partnerships.
Steps Of Company Registration In Uganda
Search for the business name.
Reserve the Business Name.
Obtain Certificate of Incorporation.
Obtain an Investment License.
Obtain a Taxpayer Identification Number (TIN)
Obtain a Trading License.
Register with National Social Security Fund (NSSF)
Make a Company Seal.
Process Of Company Registration In Uganda
Decide on a name.
Obtain Tax Identification Number for all participants.
Complete your RGD documents.
Pay your filing fees and capital duty.
File at the RGD.
A foreign company is one which is incorporated in another country. If such a company wishes to carry out business in Uganda, it must be registered locally. To register a foreign company, the following documents are required for the above process:
Certified copies of Memorandum of Articles of Association/Charter/ Constitution and Certificate from the country of origin duly witnessed.
Registration forms:
Form 24 – Particulars of Directors and Secretary
Form 13 – Statement of all subsisting charges
Form 25 – List of Names and Address of Persons Resident in Uganda authorized to accept service on behalf of the company
Form 26 – Address and Principle Office of Company.
